Take-Two Annual Meeting: Zelnick on PC, Delays and GTA 6
Take-Two Interactive held its annual meeting of stockholders on September 17, nine weeks before Grand Theft Auto VI ships. Strauss Zelnick was re-elected to the board with about 97 percent of the votes for and against, shareholders approved a charter change that limits some officers’ liability, and in the Q&A Zelnick pushed back on an investor who blamed management for years of delays. He also said PC matters more and more to the company, without announcing anything for GTA 6.
The vote, from the SEC filing
The meeting was held at 9 a.m. Eastern as a virtual, audio only webcast. Take-Two reported the results in a Form 8-K filed on September 22. Of 186,980,443 shares outstanding on the record date, 159,237,889 were represented, about 85 percent.
| Item | For | Against | For, % of for and against |
|---|---|---|---|
| Strauss Zelnick, director | 139,267,251 | 4,588,247 | 96.8% |
| Roland Hernandez, director (lowest) | 134,114,019 | 9,977,712 | 93.1% |
| Executive pay (advisory) | 137,394,611 | 6,717,451 | 95.3% |
| Officer liability amendment | 120,430,765 | 23,574,236 | 83.6% |
| Ernst & Young as auditor | 151,739,872 | 7,425,068 | 95.3% |
Percentages are ours, calculated on votes for and against, excluding abstentions and broker non-votes. All ten nominees were elected for one year: Zelnick, Michael Dornemann, William “Bing” Gordon, Roland Hernandez, J Moses, Michael Sheresky, Ellen Siminoff, LaVerne Srinivasan, Susan Tolson and Paul Viera.
The least popular item was the charter amendment. Under a change to Delaware law, it lets Take-Two shield certain senior officers from personal liability for breaches of the duty of care in direct claims by shareholders, including class actions. According to the proxy statement, it does not cover claims brought by the company, derivative suits, breaches of loyalty or bad faith conduct. Take-Two filed it in Delaware on September 18, and it took effect immediately.
Zelnick on PC
GamesRadar+ attended the meeting. One stockholder asked whether the shortage of PS5 Pro consoles was changing the delivery of PC games. Zelnick took it as a question about the timing of PC launches and gave the company line: over time, Take-Two aims to launch on every platform with a meaningful audience, though not always, and it could change course if a platform stopped being viable. Then he added that “the PC platform is becoming more and more important to our company over time.”
That is not an announcement. GTA 6 is confirmed for PlayStation 5 and Xbox Series X and S only, and neither Rockstar nor Take-Two has dated or confirmed a PC version. Our GTA 6 PC guide sets out what is known.
Zelnick on the delays
Another question, which Zelnick read aloud, accused management of years of delays, missed expectations and dependence on a few big franchises, and asked whether the board would replace the team. Zelnick said the board would do so if management fell short, then took issue with the premise, according to GamesRadar+.
His argument was historical. When his team took over in March 2007, he said, revenue was under a billion dollars, the company was under investigation by at least four government bodies, had not filed annual reports for 13 months, had one major franchise and was close to bankruptcy. This fiscal year, revenue is guided at 8 to 8.2 billion dollars. He also noted that GTA 5, released in 2013, stayed a top five selling title for 13 years.
For context, GTA 6 has been delayed twice since its 2023 reveal, and Take-Two has held the November 19, 2026 date ever since the second delay. Our GTA 6 release date guide has the full timeline.
The share price backdrop
The meeting came during a rough stretch for the stock. GameSpot reported on September 11 that Take-Two shares, at around 215 dollars, were down about 15 percent for the year. GameSpot traced much of the slide to a January sell-off across game stocks after a Google AI announcement, and quoted an analyst who blamed leak headlines and a very high valuation rather than weak demand. Zelnick had already told investors in August that GTA 6 preorders were running far ahead of internal expectations; our Q1 results report covers that call. Take-Two’s next earnings release, for the July to September quarter, is the next scheduled moment for new numbers.
